Terms of Service

1. Acceptance of Terms

These Terms of Use ("Terms") form a binding agreement between you and Ccuring Solutions LTD ("Ccuring," "we," "us," or "our"), a company headquartered in Lagos, Nigeria, governing your access to and use of the Ccuring mobile application, web portal, and related services (together, the "App" or "Services"). By creating an account, downloading the App, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the App.

2. Description of Service

Ccuring is a scheduling and safety application that allows users to:

• Create Schedules with text, audio, or image content, set to trigger (as a Buzz, Text, Voice, or Image alert) at a specific time or upon reaching a specified location, and share them with themselves, individual contacts, or groups

• Attach an Emergency function to a Schedule, which, when triggered, alerts designated emergency contacts with the triggering user's location, phone number, and address, and initiates a short (approximately one-minute) audio/video recording shared with those contacts

• Use Journey Scan to set a destination, share live safety status (Safe/Unsafe) at recurring intervals with nearby travellers, automatically complete a journey upon reaching the destination boundary radius, and submit incident reports to the public or to emergency contacts

• Manage a Contacts directory, mark contacts as Emergency contacts, and organize Groups

• Access business/organizational features — including Daily Check-in, Visitor Management with daily safety codes and ID/QR generation, staff and role access management, Payment Ledger and dues tracking, Group management, notification management, and event analytics — where the user is registered under a business plan such as Estate, Medical, Enterprise, School, Group Management, or Transport

3. Eligibility and Account Registration

You must provide accurate registration information, including a valid phone number and dial code, and keep your account credentials confidential. You are responsible for all activity that occurs under your account. You must be legally capable of entering into a binding contract in your jurisdiction to create an account in your own name. Accounts for dependents (such as children or staff) may be created and managed by a parent, guardian, or authorized business administrator, who is responsible for that dependent's use of the App.

4. Business Plans and Fees

Ccuring offers individual use free of charge and paid business plans (including, without limitation, Medical, Group Management, Estate, Enterprise, School, and Transport categories), each with its own pricing and feature scope as displayed in the App or business portal at the time of subscription. Fees, dues, and group charges are processed through our third-party payment processor, Paystack. All fees are exclusive of applicable taxes unless stated otherwise. Except as required by law or expressly stated at the time of purchase, fees are non-refundable. We may change our pricing or plan features on notice as described in Section 22.

5. Schedules, Content, and Triggers

You are solely responsible for the content (text, audio, images) you attach to a Schedule and for accurately configuring its trigger type, time, location, and recipients. You grant Ccuring a limited license to store, process, and transmit that content solely to operate the Schedule as configured — including delivering it to the self, contact, or group recipients you designate. You are responsible for ensuring you have the right to share any content you attach, including recordings or images of other people.

6. Location-Based Triggers and Journey Scan

Location-based Schedules and Journey Scan rely on your device's location services, including background location, to detect arrival at a destination or boundary radius (default 50 metres) and to share periodic safety status with nearby travellers or contacts you configure. Location accuracy depends on your device, network conditions, and enabled permissions, and Ccuring does not guarantee the precision or timeliness of any location-based trigger.

7. Emergency Alert Feature — Important Disclaimer

CCURING IS NOT AN EMERGENCY SERVICE AND IS NOT A SUBSTITUTE FOR CONTACTING THE POLICE, AMBULANCE, FIRE SERVICE, OR ANY OTHER PUBLIC EMERGENCY RESPONDER. IN A LIFE-THREATENING SITUATION, CONTACT YOUR LOCAL EMERGENCY SERVICES DIRECTLY AND IMMEDIATELY.

The Emergency Alert feature depends on your device's connectivity, enabled permissions (camera, microphone, precise and background location, notifications, and unrestricted battery usage), and the responsiveness of the emergency contacts, groups, or organizational administrators you have configured. Ccuring does not guarantee that any alert, recording, or location share will be successfully generated, transmitted, received, or acted upon, and disclaims liability for any delay, failure, or inaction related to this feature to the fullest extent permitted by law.

8. Contacts, Groups, and Sharing

When you add a person as a contact, mark them as an Emergency contact, or add them to a group, you represent that you have their permission to do so and to share Schedule, location, and alert information with them as configured. You may add, edit, or remove contacts and groups at any time within the App.

9. Business and Organizational Accounts

Where you are added to a business, estate, medical, school, transport, or enterprise account (a "Business Account") by an administrator, that organization's authorized administrators and staff may access information relevant to your membership, including your registration, Daily Check-in status, visitor codes, journey logs, and payment ledger associated with that Business Account. Business Account administrators are responsible for ensuring they have appropriate authority and consent to register members and to configure features such as Daily Check-in, Visitor Management, and role-based staff access for their organization.

10. Visitor Management and Access Codes

Daily safety codes, identification stamps, and QR codes generated through Visitor Management are intended solely for the access-control and safety purposes of the relevant Business Account and must not be shared, duplicated, or used for any unauthorized purpose.

11. Required Permissions

Certain features require you to grant device permissions, including Camera, Microphone, Precise Location, Background Location, Display Over Other Apps, Unrestricted Battery usage, and Notifications. If you decline or later disable any of these permissions, related features (including Emergency Alert recording, location-based triggers, and Journey Scan) may not function correctly or at all, and Ccuring is not responsible for any resulting failure of those features.

12. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or to harass, stalk, defame, or endanger any person

• Submit false Safe/Unsafe status reports, false incident reports, or misuse the Emergency Alert feature for non-genuine purposes

• Add a person as a contact, dependent, or Emergency contact without their knowledge or appropriate consent

• Attempt to gain unauthorized access to another user's account, a Business Account, or Ccuring systems

• Interfere with, disrupt, or reverse-engineer the App or its underlying systems

• Upload content that is unlawful, infringing, defamatory, or that violates the rights of others

We may suspend or terminate accounts that violate this Section.

13. Content Ownership and License

You retain ownership of the content you submit to the App. Ccuring retains all rights, title, and interest in and to the App itself, including its software, design, trademarks (including the Ccuring name and logo), and underlying technology. Nothing in these Terms transfers any Ccuring intellectual property to you.

14. Third-Party Services

The App relies on third-party services, including Paystack for payment processing and the Apple App Store / Google Play Store for distribution. Your use of those services is subject to their own terms and policies, and Ccuring is not responsible for their acts or omissions.

15. Termination

You may stop using the App and request account deletion at any time by contacting us. We may suspend or terminate your access to the App, in whole or in part, if you violate these Terms, if required by law, or if we discontinue the Services, with notice where reasonably practicable. Sections that by their nature should survive termination (including Sections 7, 13, 17, 18, 19, and 20) will survive.

16. Changes to the Service

We may modify, suspend, or discontinue any part of the App, including specific features or Business Plan categories, at any time, with notice provided through the App or our website where reasonably practicable.

17. Disclaimer of Warranties

THE APP AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. CCURING DOES NOT WARRANT THAT ANY SCHEDULE, ALERT, LOCATION SHARE, JOURNEY SCAN STATUS, OR EMERGENCY NOTIFICATION WILL BE DELIVERED OR ACTED UPON IN TIME OR AT ALL.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CCURING SOLUTIONS LTD, ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF LIFE, PERSONAL INJURY, DATA, REVENUE, OR PROFITS, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, INCLUDING FAILURE OR DELAY OF ANY SAFETY, EMERGENCY, OR LOCATION-BASED FEATURE, EVEN IF CCURING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT SUCH LIABILITY CANNOT BE FULLY EXCLUDED, CCURING'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID CCURING IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) [INSERT NOMINAL AMOUNT, E.G. NGN 10,000].

19. Indemnification

You agree to indemnify and hold harmless Ccuring Solutions LTD and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the App, your violation of these Terms, your content, or your infringement of any third party's rights, including any contact or dependent you add without appropriate consent.

20. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria, unless otherwise required by applicable law.

21. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

22. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the App or by other reasonable means and update the "Last Updated" date above. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.
